Red Flags That Make Me Walk Away From an RCFE | California RCFE Buyer's Guide

Episode published September 3, 2026

Walking away can be a disciplined choice when important facts remain unclear or a risk cannot be addressed on acceptable terms. A red flag should lead to careful verification, not an unsupported accusation.

Pause when records and claims do not align

Check discrepancies among financial statements, tax filings, payroll, occupancy, and contracts. Ask for a clear explanation and underlying documentation. If critical records are withheld or cannot be reconciled, discuss the implications with your advisors before moving forward.

Check compliance and transfer questions early

Confirm licensing, inspection history, fire clearance, administrator status, staffing, and the steps needed to continue operations. Obtain appropriate legal and licensing guidance. Do not assume a license or operating approval automatically transfers with a purchase.

Questions to bring to your next conversation

  • What facts are verified, and what remains only an assurance?
  • Can each material concern be resolved before closing?
  • Would the deal still work if an assumption proves wrong?
