How to Negotiate an RCFE Purchase Without Overpaying | California RCFE Buyer Guide
Episode published July 21, 2026
Good negotiation begins before an offer. Buyers who understand the records, transaction structure, financing, and risks can ask for terms that reflect the opportunity rather than competing on emotion or headline price alone.
Know your assumptions and limits
Build a supportable view of the business and, if included, the property. Consider working capital, capital needs, lease obligations, transition assistance, and required approvals. Set a walk-away point with professional input before pressure builds.
Negotiate the full set of terms
Price is only one term. Timing, contingencies, financing, training, included assets, representations, and responsibility for known issues may matter. Have an attorney and qualified transaction professionals draft and review any offer; do not rely on a verbal understanding.
Questions to bring to your next conversation
- Which assumptions support your maximum price?
- What due-diligence conditions do you need before closing?
- Which non-price terms are essential to a workable deal?
