Can You Sell Your RCFE Business and Keep the Real Estate?
Episode published October 16, 2026
Selling the operating company while retaining the building can separate a business exit from a real-estate decision. The arrangement can preserve ownership for the seller, but only if the buyer can operate under a workable lease and both parties understand their responsibilities.
Make the lease a real part of the deal
Consider proposed rent, lease length, renewal rights, permitted use, maintenance, insurance, taxes, and what happens if the business changes hands again. Rent needs to make sense for the property and the facility’s operating economics. Have appropriate legal, tax, and financial professionals review the structure before you rely on projected income.
Plan for the owner role after closing
Keeping a property means ongoing landlord responsibilities, not a completely hands-off exit. Think through repairs, vacancies, tenant communication, insurance, and how a future disagreement would be handled. The lease should clearly allocate duties instead of leaving key expectations informal.
Questions to bring to your next conversation
- Would the rent leave the operator room to run a sustainable business?
- Which repairs and capital costs belong to each party?
- Do you want the continuing responsibilities of a landlord?
